The Corporate Attorney will be responsible for providing comprehensive legal counsel and support to the company on a wide range of corporate matters.
This role requires a proactive, detail-oriented, and adaptable professional with a strong background in corporate law and a deep understanding of the business environment.
The successful candidate will play a critical role in safeguarding the company's interests and ensuring compliance with all relevant laws and regulations.
Responsibilities:
Legal Counsel and Advice:
Offer legal advice and guidance on various corporate matters, including but not limited to corporate governance, commercial contracts, mergers and acquisitions, intellectual property, compliance, and regulatory issues.
Collaborate with internal stakeholders to assess legal risks and provide strategic solutions that align with the company's objectivesContract Management:
Draft, review, and negotiate a wide range of commercial agreements, including vendor contracts, client agreements, partnership agreements, and non-disclosure agreements.
Real Estate Transactions:
Oversee and manage all aspects of real estate transactions, including lease agreements, purchase and sale agreements, due diligence, and negotiations.
Ensure compliance with zoning regulations, environmental laws, and other real estate-related legal requirements.
Corporate Governance and Compliance:
Ensure the company's compliance with applicable laws, regulations, and industry standards.
Develop and implement corporate policies and procedures to promote legal and ethical best practices.
Mergers and Acquisitions:
Participate in due diligence activities for potential mergers, acquisitions, and other business transactions.
Provide legal support during negotiations, drafting of agreements, and post-closing integration.
Intellectual Property:
Protect the company's intellectual property rights through the registration and enforcement of patents, trademarks, and copyrights.
Dispute Resolution:
Manage and oversee corporate legal disputes, working closely with external counsel when necessary.
Implement a structured process for handling customer complaints and disputes as part of the corporate legal framework, ensuring prompt and fair resolution.
Work closely with senior management to establish a dedicated communication channel for customers to escalate complaints of a legal nature, ensuring direct access to appropriate legal representation.
Collaborate with relevant departments to address root causes of recurring complaints from a legal perspective, contributing to comprehensive solutions and preventing their reoccurrence.
Legal Research:
Conduct legal research to stay updated on relevant laws and regulations, ensuring the company's legal compliance.
Qualifications:
Juris Doctor (JD) degree from an accredited law school.
Active license to practice law in Michigan.
Strong knowledge of corporate law, commercial transactions, and contract negotiation.
Demonstrated experience in handling mergers and acquisitions, corporate governance, real-estate and compliance matters.
Excellent analytical, problem-solving, and communication skills.
Ability to work collaboratively in a fast-paced, dynamic environment.
